Kahn Kleinman has represented numerous start-ups and private companies that have gone on to become major national corporations. A common characteristic of growth companies is a need for expansion capital. We have negotiated and structured hundreds of private equity transactions designed to facilitate our clients’ growth. Substantial experience in strategically guiding entrepreneurs and their companies from start-up to substantial growth permits us to counsel companies to maximize their opportunity while minimizing risk and dilution. Because our lawyers have represented venture and private equity funds in formation, as well as in the funds’ direct investments in portfolio companies, we understand the issues of importance to them and how to approach and negotiate portfolio investments. In virtually all emerging growth companies, issues of executive compensation, corporate governance, and shareholder and investor relations require on-going counseling. We have handled numerous stock option, phantom stock, cash bonus, and other compensation plans. Numerous national retailers have selected us as their lawyers through their growth years, including their initial public offerings or sales. We were the founding lawyers for Office Max and Homeplace as well as Odd-Job Stores. Kahn Kleinman is general counsel for national retailers such as Dots (extreme value women’s clothing) and Rainbow Rentals (rent-to-own industry).
